Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Hgraph, Inc., a Delaware corporation (“Hgraph,” “we,” “us,” or “our”). These Terms govern your access to and use of the website located at hgraph.com (“the Website”), our application programming interfaces (“API”), and all related services, tools, documentation, and data (collectively, “the Services”).
By accessing or using the Services, creating an account, or clicking “I agree” (or similar affirmation), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Services.
1. Overview of Services
Hgraph provides production-grade blockchain infrastructure, including indexed data APIs, analytics, and related tools. The specific features and capabilities available to you depend on your subscription tier, as described in our Fulfillment Policy.
2. Account Registration
To access certain features of the Services, you must create an account. When you register, you agree to:
- Provide accurate, current, and complete information during the registration process
- Maintain and promptly update your account information to keep it accurate and complete
- Maintain the security and confidentiality of your account credentials and API key
- Accept responsibility for all activity that occurs under your account
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account and use the Services. By creating an account, you represent and warrant that you meet this requirement.
You may not assign or transfer your account to any other person or entity without our prior written consent. You may not create more than one account per person without our prior written consent.
If you believe your account or API key has been compromised, you must notify us immediately at contact@hgraph.com.
3. Subscription Tiers and Billing
We offer the following subscription tiers: Free, Essential, Developer, Team, and Premium. The features, rate limits, pricing, and other details of each tier are described on our pricing page and in our Fulfillment Policy.
- Billing. Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected at the time of purchase). You authorize us to charge the payment method on file for all applicable fees.
- Price changes. We may change our pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing period following at least 30 days’ written notice.
- Taxes. All fees are exclusive of applicable taxes. You are responsible for paying any taxes associated with your use of the Services, excluding taxes based on Hgraph’s net income.
- Failed payments. If a payment fails, we will attempt to notify you and may suspend access to the Services until the outstanding balance is resolved.
Cancellation and refund terms are set forth in our Fulfillment Policy.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with these Terms. You shall not, and shall not permit any third party to:
- Use the Services in any way that violates any applicable federal, state, local, or international law or regulation
- Use the Services to transmit or store any material that is infringing, obscene, threatening, defamatory, or otherwise unlawful or objectionable
- Interfere with or disrupt the integrity, performance, or availability of the Services or the data contained therein
- Attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to the Services
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services, except to the extent expressly permitted by applicable law
- Use the Services to build a competing product or service, or to benchmark the Services for competitive purposes without our prior written consent
- Resell, redistribute, sublicense, or otherwise make the Services available to any third party without our prior written consent
- Circumvent, disable, or otherwise interfere with any security-related features of the Services, including features that prevent or restrict use or copying of any content or enforce limitations on use
- Use automated means (including bots, scrapers, or crawlers) to access the Services in a manner that exceeds reasonable use or that is not in accordance with our API documentation
- Use the Services in connection with any activity that could cause harm to minors
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.
5. Rate Limits and Fair Use
Each subscription tier includes defined rate limits and usage quotas as described in our Fulfillment Policy. We reserve the right to throttle, restrict, or suspend access to the Services if your usage significantly exceeds the limits of your tier or negatively impacts the experience of other users.
6. Intellectual Property
Our Intellectual Property
The Services, including all software, APIs, documentation, designs, text, graphics, logos, and other content provided by Hgraph (collectively, “Hgraph Content”), are owned by or licensed to Hgraph and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. This license does not include any right to:
- Modify, reproduce, or distribute the Hgraph Content
- Use the Hgraph name, logo, or trademarks without our prior written consent
- Create derivative works based on the Services
Your Content
You retain ownership of any data, content, or materials that you submit, upload, or transmit through the Services (“Your Content”). By using the Services, you grant Hgraph a limited, non-exclusive license to use, process, and store Your Content solely as necessary to provide the Services to you.
You represent and warrant that you own or have the necessary rights to Your Content and that Your Content does not violate the rights of any third party.
Feedback
If you provide us with any suggestions, ideas, enhancement requests, or other feedback regarding the Services (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Services without any obligation to you.
7. Data and Privacy
Our collection and use of personal information in connection with the Services is described in our Privacy Policy. By using the Services, you acknowledge that you have read and understood our Privacy Policy.
You are responsible for ensuring that your use of the Services, including any data you process through the API, complies with all applicable data protection and privacy laws.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information (“Confidential Information”). Confidential Information includes, without limitation, API keys, account credentials, proprietary data, business plans, pricing, and technical specifications.
Neither party shall disclose the other party’s Confidential Information to any third party except as necessary to perform its obligations under these Terms, and only to those who are bound by confidentiality obligations at least as protective as those contained herein.
This obligation of confidentiality shall not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without use of the disclosing party’s Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided that the receiving party gives prompt notice to the disclosing party where legally permitted.
9. Third-Party Services
The Services may integrate with, link to, or rely on third-party services, platforms, or content. We do not control and are not responsible for any third-party services. Your use of any third-party service is at your own risk and subject to that third party’s terms and policies.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, HGRAPH DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS; OR (D) THE DATA PROVIDED THROUGH THE SERVICES WILL BE ACCURATE, COMPLETE, OR CURRENT.
THE SERVICES PROVIDE BLOCKCHAIN DATA AND INFRASTRUCTURE AND DO NOT CONSTITUTE FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. YOU SHOULD NOT RELY ON ANY DATA OR INFORMATION OBTAINED THROUGH THE SERVICES AS THE BASIS FOR ANY FINANCIAL, INVESTMENT, OR OTHER DECISION. HGRAPH IS NOT A FINANCIAL ADVISOR, BROKER, OR DEALER, AND NOTHING IN THE SERVICES SHOULD BE CONSTRUED AS SUCH.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HGRAPH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM: (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO HGRAPH DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND REGARDLESS OF WHETHER HGRAPH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify, defend, and hold harmless Hgraph and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any claim that Your Content caused damage to a third party.
This indemnification obligation shall survive the termination of these Terms and your use of the Services.
13. Termination
Termination by You
You may terminate your account at any time by following the cancellation procedures described in our Fulfillment Policy or by contacting us at contact@hgraph.com. Termination does not entitle you to a refund of any prepaid fees.
Termination by Us
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Without limiting the foregoing, we may suspend or terminate your access if we reasonably believe: (a) you have violated these Terms or any applicable law; (b) your use poses a security risk to the Services or other users; (c) your account is being used for fraudulent or illegal activity; or (d) continued provision of the Services to you is no longer commercially viable.
Effect of Termination
Upon termination: (a) your right to access and use the Services will immediately cease; (b) your API key will be deactivated; (c) we may delete your account data after a reasonable retention period, except as required by law; and (d) the following provisions shall survive: Sections 6 (Intellectual Property), 8 (Confidentiality), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law and Dispute Resolution), and any other provisions that by their nature are intended to survive termination.
14. Governing Law and Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Informal Resolution
Before initiating any formal dispute resolution proceedings, you agree to first contact us at contact@hgraph.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.
Jurisdiction
If a dispute cannot be resolved informally, you agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware. You consent to the personal jurisdiction and venue of such courts.
Waiver of Class Actions
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our Website and updating the Effective Date at the top of this page. For material changes, we will make reasonable efforts to notify you via email or through a prominent notice on the Website at least 30 days before the changes take effect.
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services and terminate your account.
16. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy, Fulfillment Policy, and any other policies referenced herein, constitute the entire agreement between you and Hgraph regarding the Services and supersede all prior agreements and understandings, whether written or oral. Enterprise customers with separate written agreements are subject to the terms of those agreements where they conflict with these Terms.
- Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver. The failure of Hgraph to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
- Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
- Force Majeure. Hgraph shall not be liable for any failure or delay in performing its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, third-party infrastructure failures, pandemics, or blockchain network disruptions.
- Notices. We may provide notices to you via email to the address associated with your account or by posting on the Website. You may provide notices to us by email at contact@hgraph.com. Notices are deemed received when sent by email (if no bounce-back is received) or when posted on the Website.
- No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.
- Headings. Section headings are for convenience only and shall not affect the interpretation of these Terms.
